Terms & Conditions

1. Introduction

These Terms and Conditions govern your access to and use of the AuditEvidenceAI platform, operated by AuditEvidenceAI Ltd, a company incorporated in England and Wales. By registering for or using the Platform, you agree to be bound by these Terms. If you are using the Platform on behalf of an organisation, you confirm you have authority to bind that organisation.

2. Service Overview

AuditEvidenceAI is a software-as-a-service platform designed to support AI governance and audit documentation. The Platform enables organisations to:

  • Register and manage AI systems and related business decisions
  • Build structured evidence packs aligned to regulatory frameworks including EU AI Act, NIST AI RMF, ISO 42001, and NYC Local Law 144
  • Attach supporting evidence to individual controls
  • Generate structured versioned PDF outputs
  • Maintain an immutable audit log

The Platform is a documentation and workflow tool. It is not a legal, compliance advisory, or audit assurance service.

3. Use of the Platform

3.1 Permitted Use

You may use the Platform solely for lawful business purposes in connection with AI governance, audit preparation, and compliance documentation.

3.2 Prohibited Use

You must not use the Platform to store or transmit unlawful content, attempt unauthorised access, use automated tools to scrape data without consent, resell the Platform without agreement, introduce malware, or misrepresent your identity.

4. Customer Responsibilities

You are solely responsible for the accuracy and lawfulness of all data you input, ensuring your use complies with applicable laws, reviewing all outputs before relying on them, maintaining the confidentiality of your credentials, and obtaining necessary consents from individuals whose personal data you process via the Platform.

5. No Guarantee of Regulatory Compliance or Audit Approval

IMPORTANT: AuditEvidenceAI is a documentation and workflow tool. It is not an audit assurance service, a compliance certification body, or a legal advisory service.

The Platform does not guarantee, and you should not assume, that use of the Platform will result in: (a) regulatory compliance with any applicable law or standard, including the EU AI Act, ISO 42001, NIST AI RMF, or NYC Local Law 144; (b) approval by any auditor, regulator, or certification body; or (c) any specific outcome in any audit, inspection, investigation, or enforcement action.

Nothing in the Platform — including templates, guidance text, AI-generated content, readiness scores, or evidence pack outputs — constitutes legal or professional advice. The Platform is not a substitute for qualified legal, compliance, or regulatory advice. Compliance with applicable laws, regulations, and standards remains your sole responsibility. You should seek independent professional advice before relying on any output of the Platform for regulatory purposes.

6. Use of Artificial Intelligence

6.1 AI-powered features.

The Platform uses large language model AI technology, including models provided by Anthropic, PBC (“Claude”), to generate certain content within the Platform. AI-powered features include, but are not limited to: section guidance and suggested responses, gap analysis and readiness explanations, PDF narrative summaries, and benchmark context messages.

6.2 Nature of AI output.

AI-generated content is produced automatically and is intended to assist your thinking and documentation process. It is not reviewed or verified by AuditEvidenceAI before being displayed. AI output may be incomplete, inaccurate, out of date, or unsuitable for your specific circumstances. You must not treat AI-generated content as factual, legally accurate, or sufficient for compliance purposes without independent review.

6.3 Human review required.

Any AI-generated content that you include in an evidence pack, PDF report, or audit submission remains your responsibility. You are responsible for reviewing, correcting, and approving all content before use. The Platform’s approval workflow is designed to facilitate human sign-off before documentation is treated as final.

6.4 Controls in place.

We have implemented the following controls to reduce risk from AI-generated content: (a) AI output is clearly labelled within the Platform and is not automatically inserted into required fields; (b) all evidence packs require human review and explicit admin approval before being treated as final; (c) PDF audit reports are only generated after an authorised user has approved the pack; and (d) AI guidance is framed as contextual assistance, not as compliance instruction.

6.5 Data sent to AI providers.

When you use AI-powered features, certain content from your evidence pack — including section responses, decision names, and readiness context — may be transmitted to Anthropic’s API for processing. This data is processed in accordance with Anthropic’s data processing terms. You should not enter personal data, sensitive data, or confidential information into AI-powered input fields beyond what is necessary for governance documentation purposes.

6.6 No liability for AI errors.

To the fullest extent permitted by law, AuditEvidenceAI accepts no liability for any loss, damage, or consequence arising from reliance on AI-generated content produced by the Platform.

7. Accounts and Access

To use the Platform you must create an account using a valid email address. You are responsible for safeguarding your credentials and all activity under your account. Notify us immediately at hello@auditevidence.ai if you suspect unauthorised access. We reserve the right to suspend accounts that violate these Terms.

8. Beta Period

The Platform is currently in a public beta period. During this period: the Platform is provided free of charge; we may modify or extend the beta at our discretion; we will provide at least 14 days notice before introducing any charges; and some features may be incomplete or subject to change. Beta participants may be invited to provide voluntary feedback.

9. Subscription and Fees

9.1 Free Tier

We offer a free tier including access to a limited number of evidence packs, subject to usage limits which may be modified at our discretion.

9.2 Paid Plans

Paid subscription plans are available on a monthly basis at fees published on our website.

9.3 Payment Terms

All fees are payable in advance via third-party payment processors.

9.4 Cancellation

You may cancel your subscription at any time via your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods unless required by law.

9.5 Price Changes

We may change subscription pricing with at least 30 days written notice.

10. Intellectual Property

All intellectual property rights in the Platform are owned by or licensed to AuditEvidenceAI Ltd. You retain ownership of all data and content you input. By inputting data, you grant us a limited licence to process and store it solely to provide the Platform services to you.

11. Data and Security

We process personal data in accordance with our Privacy Policy and Data Processing Agreement. We implement industry-standard security measures to protect Customer Data. You are responsible for ensuring personal data you input is processed lawfully.

12. Service Availability

We aim to maintain high availability but do not guarantee uninterrupted service. The Platform is provided as is and as available. We accept no liability for service interruptions caused by factors outside our reasonable control.

13. Limitation of Liability

To the fullest extent permitted by law: our total aggregate liability shall not exceed the amount paid by you in the 12 months preceding the claim, or 500 GBP (whichever is greater); we shall not be liable for any indirect, consequential, or special loss. Nothing limits our liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

14. Indemnity

You agree to indemnify AuditEvidenceAI Ltd from and against any claims, damages, costs, and expenses arising from your use of the Platform in breach of these Terms, your violation of any applicable law, or any third-party claim arising from data you input.

15. Termination

Either party may terminate these Terms on 30 days written notice. We may terminate your access immediately where you breach these Terms, engage in fraudulent conduct, or we are required to by law. Upon termination, we will retain your data for 30 days.

16. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or via a notice on the Platform at least 14 days before the changes take effect. Continued use after the effective date constitutes acceptance.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales. For questions: hello@auditevidence.ai
